Re: Transfer of Ownership of Northeast Ambulatory Center
I am excited to share my plans that I am retiring this fall and will be transferring the ownership
of Northeast Ambulatory Center (“the Center”) to Blue Cloud Pediatric Surgery Center (“Blue
Cloud”). Blue Cloud is a national market leader in operating ambulatory surgery centers for
pediatric and special need patients who require high acuity dental surgery under general
anesthesia and are not well served in an office or hospital operating room setting (collectively,
“Dental Surgeries”). While Blue Cloud will continue to operate the Center as a single-specialty
ambulatory surgery center, it will no longer provide pain management services, shifting to
solely Dental Surgeries.
This proposed transfer of ownership is subject to the Department of Public Health
Determination of Need review process and other regulatory approvals.

Public Announcement Concerning a Proposed Health Care Project
Blue Cloud Pediatric Surgery Center, LLC (Applicant), with a principal place of business at 9709 Lakeside Blvd, Ste 350, The Woodlands, TX 77381, intends to file a Determination of Need application with the Massachusetts Department of Public Health (DPH) with respect to a Transfer of Ownership of Northeast Ambulatory Center, LLC at 3 Woodland Rd, Stoneham, MA 02180 (the Center), a physician-owned, single-specialty freestanding ambulatory surgery center (ASC) that provides pain management procedures to the physician owner's patients.
The Applicant will acquire 100% of the equity in the Center from its sole physician owner (the Seller) who will retire after the sale (Proposed Project). The Applicant will continue to operate the Center as a single-specialty AS but instead of providing pain management procedures, the Applicant will use the ASC to provide high-acuity dental surgery for pediatric and special needs patients who require these services under general anesthesia and are not well served in an office or hospital operating room.
The Total Value of this transaction is $3,800,000.00. The Applicant does not anticipate any price or service impacts on the Seller's existing Patient Panel as a result of the transaction. Any ten Taxpayers of Massachusetts may register in connection with the intended application by no later than June 17, 2026, or 30 days from the Filing Date, whichever is later, by contacting the Department of Public Health Determination of Need Program, 67 Forest St., Marlborough, MA 01752.
